These Terms of Service (“Terms”) establish a binding legal contract between you (“User”, “Client”, or “you”) and Nomad Vestbrook (“Nomad Vestbrook”, “Company”, “we”, “our”, or “us”). By accessing our website, creating an account, connecting third-party brokerage APIs, or utilizing our software, algorithms, or market intelligence data, you agree to comply with and be bound by these Terms.
1. Platform Scope and Nature of Services
Nomad Vestbrook develops and licenses automated market intelligence software, technical analysis indicators, and trade signal routing mechanisms designed for digital asset, foreign exchange, and equity derivative markets. Nomad Vestbrook is a commercial financial technology and software vendor. Nomad Vestbrook is not an investment fund, registered investment advisor, asset manager, broker-dealer, or custodial depository. We do not hold client funds, execute discretionary portfolio management, or guarantee trading outcomes.
2. Eligibility and Account Safeguards
To access our platform and tools, you warrant and represent that:
- You are at least 18 years of age or the age of majority required by your home jurisdiction.
- You maintain full legal capacity to enter into binding agreements.
- You are not a resident of, or located in, any jurisdiction subject to comprehensive trade sanctions or where the provision of digital asset tools is prohibited by applicable statute.
- All registration credentials and identification details supplied by you are truthful, accurate, and kept up to date.
- You are solely responsible for maintaining the confidentiality of your login credentials, API secrets, two-factor authentication tokens, and private security devices.
3. Risk Disclosures and Self-Directed Trading
Trading cryptocurrencies, spot foreign exchange, and contracts for difference (CFDs) carries an inherent, elevated degree of capital risk. Leverage amplifies both gains and losses. You explicitly recognize and accept that:
- Historical backtesting, simulated performance numbers, and algorithmic signals presented on the platform do not represent guarantees of current or future profitability.
- Unanticipated market volatility, liquidity deficits, slippage, connectivity outages, software latency, or external exchange disconnections may lead to material financial losses.
- You retain sole, autonomous authority over every order routing, parameter setting, stop-loss threshold, and capital allocation decision. Nomad Vestbrook shall bear no liability for trading decisions executed through or influenced by the software.
4. Prohibited Uses
Users agree not to engage in any of the following activities:
- Decompiling, reverse-engineering, modifying, disassembling, or extracting source code from any proprietary software or algorithms belonging to Nomad Vestbrook.
- Employing unauthorized automated scripts, web scrapers, or bot nets to overwhelm platform bandwidth, scrape data feeds, or bypass security architectures.
- Attempting market manipulation, spoofing, wash trading, or using the platform in furtherance of money laundering, terrorist financing, or financial fraud.
- Sublicensing, renting, leasing, reselling, or redistributing the algorithmic feeds or proprietary trading models without express prior written permission from Nomad Vestbrook.
5. Intellectual Property Rights
All intellectual property rights in and to the platform—including but not limited to design layouts, brand names, visual styling, mathematical algorithms, software code, user documentation, and text—are owned exclusively by Nomad Vestbrook or its lawful licensors. Subject to strict compliance with these Terms, Nomad Vestbrook grants you a revocable, non-exclusive, non-transferable, non-sublicensable personal license to view and use the software during your active subscription period.
6. Third-Party Integrations and Brokerage Providers
Our platform interfaces with third-party cryptocurrency exchanges, centralized execution brokers, and decentralized trading venues. Nomad Vestbrook exercises no custody, ownership, or control over such independent venues. We make no representations or warranties concerning third-party uptime, regulatory standing, solvency, fee structures, or trade execution speeds. Any dispute between you and an integrated exchange remains strictly between you and that third party.
7. Disclaimer of Warranties and Limitation of Liability
The platform, services, algorithms, and documentation are provided strictly on an “as is” and “as available” basis without warranties of any kind, whether express, statutory, or implied. To the maximum extent permitted under applicable law, Nomad Vestbrook, its directors, officers, employees, and licensors disclaim all liability for any indirect, incidental, special, punitive, consequential, or exemplary damages, including loss of profits, data, goodwill, or capital balances resulting from:
- Your use or inability to use the platform.
- Execution delays, platform errors, network disruptions, or cyber incidents.
- Actions taken based on analytical outputs, trading signals, or market dashboards.
8. Governing Law and Dispute Resolution
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including validity, invalidity, breach, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Dublin, Ireland.
9. Modifications and Termination
Nomad Vestbrook reserves the right to modify these Terms at any time to reflect changing technological requirements, statutory standards, or platform enhancements. Significant updates will be communicated by publishing the updated text with an amended revision date. We reserve the right to suspend or terminate account access immediately if you violate any covenant set forth herein.
